Terms of Service

1. Acceptance of Terms

By accessing or using the Banklyze platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). The Service is operated by Thornebridge Holdings LLC (“Thornebridge,” “we,” “us,” or “our”).

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Banklyze is an AI-powered bank statement analysis and underwriting platform designed for MCA funders, ISOs, and alternative lenders. The Service provides automated extraction of financial data from bank statements, calculation of underwriting metrics, lender screening, risk scoring, and report generation.

The Service is provided through our web application at banklyze.com and via our REST API. Features and functionality may vary by subscription plan and may change over time as we improve the platform.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate
• Keep your login credentials confidential and not share them with any third party
• Be responsible for all activity that occurs under your account
• Notify us immediately at security@banklyze.com if you suspect any unauthorized access to your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Subscription & Billing

4.1 Plans & Payment

The Service is available under free and paid subscription plans. Paid plans are billed on a monthly or annual basis, as selected during signup. All fees are stated in U.S. dollars and are exclusive of applicable taxes unless otherwise noted.

4.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel auto-renewal at any time through your account settings.

4.3 Price Changes

We may change subscription pricing with at least 30 days' written notice. Price changes will take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel your subscription before it renews.

4.4 Refund Policy

Monthly subscriptions are non-refundable. Annual subscriptions are eligible for a pro-rated refund for the unused portion of the subscription term if you cancel within 30 days of renewal. Refund requests should be directed to billing@banklyze.com.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service in any way that violates applicable local, state, national, or international law or regulation
• Upload, transmit, or distribute any malicious code, viruses, worms, or other harmful software
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service
• Scrape, crawl, or use automated means to access the Service except through our published API
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks
• Use the Service to process data that you do not have the legal right to access or process
• Resell, sublicense, or redistribute access to the Service without our prior written consent

We reserve the right to investigate violations of these Terms and may take any action we deem appropriate, including suspending or terminating your account.

6. Intellectual Property

6.1 Our Property

The Service, including all software, algorithms, user interfaces, designs, text, graphics, and documentation, is the proprietary property of Thornebridge Holdings LLC and is protected by copyright, trademark, and other intellectual property laws. The Banklyze name, logo, and all related marks are trademarks of Thornebridge Holdings LLC.

6.2 Your Data

You retain all ownership rights to the data you upload to or create through the Service (“Your Data”). We do not claim any ownership over your bank statements, financial data, deal records, or generated reports.

6.3 License to Process

By uploading data to the Service, you grant Thornebridge a limited, non-exclusive, royalty-free license to process, analyze, and store Your Data solely for the purpose of providing the Service to you. This license terminates when you delete Your Data or your account is terminated.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

You are solely responsible for the accuracy, legality, and appropriateness of the data you upload to the Service. You represent that you have all necessary rights and permissions to upload and process the financial documents submitted through the platform.

We do not claim ownership of your financial data. Uploaded bank statements and extracted data are used exclusively to provide the Service and are handled in accordance with our Privacy Policy and security practices.

8. API Usage

Access to the Banklyze REST API is subject to the following conditions:

• Rate Limits — API usage is subject to rate limits as defined by your subscription plan. Exceeding rate limits may result in temporary throttling of your API access.
• API Keys — Your API keys are confidential credentials. You are responsible for safeguarding your API keys and must not share them publicly or embed them in client-side code. Compromised keys should be rotated immediately.
• Abusive Usage — We reserve the right to throttle, suspend, or terminate API access for any account engaged in abusive usage patterns, including but not limited to excessive requests, denial-of-service attempts, or unauthorized automation.
• Availability — While we strive for high availability, we do not guarantee uninterrupted API access and are not liable for downtime or service interruptions.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Not Financial Advice. Banklyze is a data analysis and decision-support tool. The underwriting recommendations, health scores, paper grades, and suggested terms generated by the Service are informational only and do not constitute financial, legal, or lending advice. All funding and credit decisions remain solely your responsibility.

We do not guarantee the accuracy, completeness, or reliability of any data extracted from uploaded documents. You should independently verify all critical data before making funding decisions. We make no warranty that the Service will meet your specific requirements, operate without interruption, or be free of errors.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THORNEBRIDGE HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Thornebridge Holdings LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party, including intellectual property or privacy rights
• Any data or content you upload to or transmit through the Service
• Any lending or funding decisions made based on information provided by the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to access the Service will cease immediately.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or for any other reason at our sole discretion.

12.3 Effect of Termination

Upon termination, your access to the Service will be revoked. Your Data will remain available for export for thirty (30) days following termination, after which it may be permanently deleted. Sections of these Terms that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will continue in effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and may notify you via email or an in-app notification.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and may terminate your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
